Reports to: CFO & Board of Directors

I. Key Responsibilities
IPO & Governance
Support the company’s IPO process, working closely with regulators, sponsors, and external advisors.
Draft, review, and negotiate key IPO documentation, including prospectus materials, underwriting agreements, and corporate disclosures.
Advise internal stakeholders on listing requirements, securities regulations, and corporate governance standards.
Oversee legal due diligence and ensure compliance with all relevant regulatory obligations.
Prepare and review legal reports, board resolutions, and corporate documentation supporting IPO readiness.
Monitor regulatory developments and provide strategic legal guidance to senior leadership.
Corporate & Strategic Advisory
Advise leadership on corporate and regulatory matters
Support strategic transactions, partnerships, and commercial structuring
Draft and negotiate key commercial agreements
Risk & Compliance
Establish internal legal and compliance policies
Monitor regulatory exposure across operations
Implement scalable legal processes to support rapid growth
II. Ideal Profile
5–7 years of legal experience with a minimum of 3+ years PQE as a licensed lawyer, ideally with exposure to IPO or capital markets works
Solid understanding of listing regulations, securities laws, and corporate finance frameworks
Strong drafting, analytical, and stakeholder communication skills
Able to manage multiple workstreams and deliver under tight timelines
Professional proficiency in both English and Vietnamese

IV. Working Time & Location:
Working time: Monday to Friday (9:00 AM – 6:30 PM)
